Terms of Service Agreement

Effective Date: September 18, 2026 • General terms governing your use of Takeoff Engine

1Acceptance of Terms

By accessing or using Takeoff Engine (the "Service"), you agree to be bound by these Terms of Service, our Acceptable Use Policy, and our Privacy Policy. You represent that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms. If you disagree with any part of these terms, you may not access the Service. We reserve the right to modify these Terms at any time by posting the revised version and updating the effective date. Your continued use after such changes constitutes acceptance of the modified Terms.

2Accounts, Subscriptions & Security

You must provide accurate, complete, and current information when registering an account. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, whether or not authorized by you. You must notify us immediately of any unauthorized use of your account or any other breach of security. Account sharing, credential sharing, or allowing unauthorized third-party access is strictly prohibited and constitutes grounds for immediate termination without refund. We reserve the right to suspend or terminate accounts that have been inactive for an extended period, that violate these Terms, or where we reasonably believe the account poses a security risk.

3Payments, Billing & Auto-Renewal

Takeoff Engine offers subscription plans (Starter, Pro, Enterprise) with monthly or annual billing cycles. All payments, invoicing, and tax collections are handled by Paddle.com as Merchant of Record. Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date. You authorize Paddle to charge your payment method for each renewal period until you cancel. We reserve the right to change subscription pricing upon reasonable notice before the start of your next billing cycle; continued use after a price change constitutes acceptance of the new pricing. You are responsible for all applicable taxes, duties, and fees. All fees are non-refundable except as expressly stated in our Refund Policy.

4Intellectual Property & User Data

Takeoff Engine and all of its original content, features, functionality, algorithms, designs, trademarks, service marks, logos, and source code (collectively, the "Proprietary Materials") are and shall remain the exclusive property of Takeoff Engine and its licensors, and are protected by copyright, trademark, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or create derivative works of the Service or Proprietary Materials. Users retain full ownership of their uploaded files, custom rate libraries, and generated bid documents. Any feedback, suggestions, or ideas you provide regarding the Service become the sole property of Takeoff Engine and may be used without restriction or compensation to you.

5Estimating Disclaimer

Takeoff Engine is an estimating calculation tool provided for informational and planning purposes only. Estimates, quantities, costs, and bid amounts generated by the Service are approximations based on user-provided inputs and assumptions, and may not reflect actual field conditions, material costs, labor rates, or project requirements. Users are solely responsible for independently verifying all estimates through field measurements, supplier quotes, labor rate verification, and professional engineering judgment before submitting any bid or contract. Takeoff Engine does not provide professional engineering, architectural, or construction management services and makes no representations regarding the accuracy, completeness, or suitability of any estimate.

6User Content, Rights & License

You retain ownership of content you submit to the Service, including profile images, avatars, company logos, photos, project files, attachments, rate libraries, and generated documents (collectively, "User Content"). You represent and warrant that you own User Content or have all rights, permissions, releases, and authority needed to submit it and grant the rights below, and that it does not infringe intellectual-property, privacy, publicity, contractual, or other rights. You grant Takeoff Engine a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, and display User Content only as reasonably necessary to operate, secure, support, improve, and provide the Service. This license ends when User Content is deleted from the Service, except for limited backup, legal-retention, and dispute-resolution purposes.

7Content Enforcement, Copyright Claims & Indemnity

Takeoff Engine may, but is not required to, review, remove, disable access to, preserve, or disclose User Content when it reasonably believes doing so is necessary to enforce these Terms, address a claim, protect rights or safety, or comply with law. We may suspend or terminate accounts of repeat or serious infringers. Copyright or other intellectual-property reports should identify the protected work, the allegedly infringing material and its location, your contact information, the basis of your authority, a good-faith statement, and a statement under penalty of perjury that the report is accurate. To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Takeoff Engine and its affiliates, officers, employees, and agents from claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising from your User Content, your infringement or alleged infringement of another's rights, or your breach of these Terms.

8Contact Information

For inquiries regarding these Terms or to report alleged intellectual-property infringement, contact pattygsocials@gmail.com.

9Governing Law & Dispute Resolution

Before filing a formal claim, you and Takeoff Engine agree to try in good faith to resolve the dispute by written notice to the contact address in these Terms. Except where applicable law provides otherwise, these Terms and any dispute arising from the Service are governed by the laws of the jurisdiction in which the Takeoff Engine operating entity is organized, without regard to conflict-of-law principles. Any dispute not resolved informally must be brought exclusively in the state or federal courts located in that jurisdiction, and each party consents to the personal jurisdiction and venue of those courts. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE ANY RIGHT TO A TRIAL BY JURY AND AGREE THAT ANY DISPUTE SHALL BE RESOLVED BY A JUDGE SITTING WITHOUT A JURY. YOU FURTHER AGREE THAT ANY CLAIM OR DISPUTE MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. Any claim or cause of action arising out of or related to these Terms or the Service must be filed within one (1) year after the claim or cause of action accrues, or it shall be permanently barred.

10Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR AVAILABILITY. WITHOUT LIMITING THE FOREGOING, TAKEOFF ENGINE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; THAT ESTIMATES OR CALCULATIONS WILL BE ACCURATE; THAT ANY DEFECTS WILL BE CORRECTED; OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY TAKEOFF ENGINE OR ITS AGENTS SHALL CREATE A WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

11Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TAKEOFF ENGINE, ITS OWNERS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR CONTRIBUTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BIDS OR CONTRACTS, LOSS OF GOODWILL, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF TAKEOFF ENGINE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF TAKEOFF ENGINE FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO TAKEOFF ENGINE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR FIFTY U.S. DOLLARS (US$50.00), WHICHEVER IS GREATER. THE FOREGOING LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW, REGARDLESS OF THE LEGAL THEORY UPON WHICH THE CLAIM IS BASED, INCLUDING CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE.

12Termination

You may terminate your account at any time by cancelling your subscription or contacting us. We reserve the right to suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including without limitation breach of these Terms, violation of the Acceptable Use Policy, non-payment of fees, or conduct that we determine in our sole discretion to be harmful to the Service, other users, or our business. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination shall survive, including but not limited to Intellectual Property, User Content License, Indemnity, Disclaimer of Warranties, Limitation of Liability, and Governing Law.

13Modification of Terms

We reserve the right to revise these Terms at any time by posting the updated version on the Service and revising the effective date. Material changes will be communicated through the Service or by email. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of such changes. If you do not agree to the revised Terms, you must stop using the Service and may cancel your subscription.

14General Provisions

These Terms, together with the Acceptable Use Policy, Privacy Policy, and Refund Policy, constitute the entire agreement between you and Takeoff Engine regarding the Service and supersede all prior agreements, representations, and understandings. If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver shall be deemed a waiver of any subsequent breach or default. Headings are for convenience only and have no legal effect. These Terms may not be assigned or transferred by you without our prior written consent. We may assign or transfer these Terms without notice or consent.
